Please read these terms carefully before using our website or services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Pallets Reuse LLC ("Pallets Reuse," "Company," "we," "us," or "our"), governing your access to and use of the Pallets Reuse website (palletsreuse.com), as well as all products, services, and transactions conducted through or in connection with our business. By accessing our website, placing an order, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the Pallets Reuse website (palletsreuse.com) and our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

These Terms apply to all users of the Site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. If you are using our services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "your" will refer to that entity.

Any new features, products, or services added to our current offerings shall also be subject to these Terms. We reserve the right to update, change, or replace any part of these Terms at any time by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

2. Account Terms

Certain services and features may require the creation of a business account. When establishing an account with Pallets Reuse, you agree to the following:

  • You must provide accurate, complete, and current information during the account registration process and keep your account information updated at all times.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must be at least 18 years of age and have the legal capacity to enter into binding contracts to create an account and use our services.
  • You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  • We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe that conduct violates these Terms or is harmful to our business, other customers, or third parties.
  • Business accounts may be subject to a credit review process. We reserve the right to set credit limits and adjust payment terms based on creditworthiness and account history.

3. Products and Services

Pallets Reuse provides the following products and services, subject to availability:

  • Pallet Sales: We sell new, recycled, and refurbished pallets in a variety of sizes, materials, and grades including Grade A (Premium), Grade B (Standard), Grade C (Economy), and custom specifications. Product descriptions and grade definitions serve as general guidelines; individual pallets may vary within their designated grade.
  • Pallet Buying/Purchasing: We purchase used pallets from businesses of all sizes. Pricing for purchased pallets depends on condition, size, type, quantity, and current market conditions. All purchases are subject to on-site inspection and grading by our team.
  • Pallet Recycling: We offer comprehensive pallet recycling services, including collection, dismantling, sorting, and repurposing of pallet materials. Our recycling process diverts waste from landfills and supports sustainable business practices.
  • Pallet Repair and Refurbishment: We repair damaged pallets to extend their useful life, including board replacement, re-nailing, and structural reinforcement. Repaired pallets are re-graded before resale.
  • Custom Pallet Manufacturing: We design and build custom pallets to meet specific size, weight capacity, and material requirements. Custom orders are subject to minimum quantity requirements and lead times as communicated during the quoting process.
  • Transportation and Logistics: We provide delivery, pickup, and fleet logistics services for pallets throughout the Portland metropolitan area and the broader Pacific Northwest region. Delivery services may be subject to distance-based surcharges and scheduling availability.
  • Heat Treatment (ISPM-15): We offer ISPM-15 compliant heat treatment services for pallets used in international shipping. Heat-treated pallets are stamped with the appropriate certification marks.
  • Consulting and Pallet Management: We provide consulting services to help businesses optimize their pallet programs, reduce costs, and improve sustainability in their supply chain operations.

All services are subject to availability and may vary based on location, season, demand, and material supply. Product images shown on our website are representative and actual products may differ in appearance. We reserve the right to discontinue any product or service at any time without notice.

4. Pricing and Payment

All quotes are valid for 30 days from the date of issuance unless otherwise stated in writing. Prices are subject to change based on market conditions, raw material costs, labor rates, and order specifications. Final pricing will be confirmed upon order placement and material inspection.

4.1 Pricing

  • All prices are quoted in U.S. dollars and do not include applicable taxes, delivery charges, or surcharges unless explicitly stated.
  • Volume discounts may be available for large or recurring orders. Contact us for volume pricing.
  • Prices for used pallets are determined based on condition, grade, type, current market value, and quantity.
  • Custom pallet pricing will be provided on a per-project basis and will reflect material costs, labor, complexity, and quantity.
  • We reserve the right to correct pricing errors. If we discover an error in the price of a product you have ordered, we will contact you before processing the order.

4.2 Payment Terms

  • New Customers: Payment is required in advance or upon delivery (COD) unless credit terms have been established.
  • Established Accounts: Qualified customers may apply for net-30 payment terms subject to credit approval. Net-30 terms mean payment is due within 30 days of the invoice date.
  • Accepted Payment Methods: We accept payment by company check, ACH/wire transfer, credit card (Visa, Mastercard, American Express), and cash for in-person transactions.
  • Late Payments: Payments not received by the due date may be subject to a late fee of 1.5% per month (18% annually) on the outstanding balance, or the maximum rate permitted by law, whichever is less.
  • Collections: Accounts that are significantly past due may be referred to a third-party collection agency. The Customer agrees to pay all reasonable costs of collection, including attorney fees and court costs, incurred by Pallets Reuse in collecting outstanding amounts.
  • Credit Card Processing: Credit card payments may be subject to a processing surcharge where permitted by law. The surcharge will be disclosed at the time of payment.

4.3 Taxes

Customers are responsible for all applicable sales taxes, use taxes, and other taxes or government charges associated with their purchases. Tax-exempt customers must provide a valid exemption certificate prior to purchase. Oregon does not impose a state sales tax; however, customers located in other states may be subject to their state's sales or use tax obligations.

5. Orders and Order Confirmation

Orders are confirmed upon written acceptance (which may include email confirmation) and, where applicable, receipt of payment or credit approval. A confirmed order constitutes a binding agreement between you and Pallets Reuse.

  • Order Accuracy: It is the Customer's responsibility to verify the accuracy of all order details, including pallet type, size, grade, quantity, and delivery address, before confirming an order.
  • Order Modifications: Requests to modify a confirmed order must be submitted in writing within 24 hours of order confirmation. Changes to custom orders may incur additional charges or affect delivery timelines.
  • Order Cancellation: Orders may be cancelled at no charge if cancellation is requested before production or shipment begins. Orders that have already entered production or been shipped may be subject to a cancellation fee of up to 25% of the order value, plus any non-recoverable costs incurred. Custom orders are non-cancellable once production has begun.
  • Minimum Order Quantities: Certain products and services may have minimum order requirements. Minimum quantities will be communicated during the quoting process.

6. Shipping and Delivery

We offer delivery services throughout the Portland metropolitan area and the broader Pacific Northwest region. The following terms apply to all deliveries:

  • Delivery Schedules: Delivery dates and times are estimates only and may be affected by factors beyond our control, including weather, traffic, equipment availability, and order volume. We will make reasonable efforts to meet agreed-upon delivery dates and will communicate any anticipated delays promptly.
  • Delivery Charges: Delivery fees are based on distance, order size/weight, and delivery requirements (e.g., liftgate service, inside delivery). Delivery charges will be quoted at the time of order and are in addition to product prices unless otherwise stated.
  • Delivery Access: The Customer is responsible for ensuring adequate access for delivery vehicles at the delivery location, including sufficient clearance, a suitable loading/unloading area, and any necessary equipment (such as a forklift) for offloading. If delivery cannot be completed due to access issues at the Customer's site, additional delivery fees may apply.
  • Risk of Loss: Title and risk of loss for products pass to the Customer upon delivery and acceptance at the delivery location. For Customer pickups, title and risk of loss transfer upon loading at our facility.
  • Inspection Upon Delivery: The Customer should inspect all products upon delivery and note any visible damage or discrepancies on the delivery receipt. Any damage or shortages must be reported within 48 hours of delivery.
  • Customer Pickup: Customers may pick up orders at our Portland facility during business hours. Orders will be staged for pickup upon confirmation. The Customer is responsible for providing appropriate transportation and securing the load.

7. Returns and Refunds

We stand behind the quality of our products. The following return and refund policies apply:

  • Quality Claims: If products received do not meet the specified grade or quality standards, the Customer must notify us within 48 hours of delivery with photographs and a description of the issue. We will arrange an inspection and, at our option, replace the non-conforming products, issue a credit, or provide a refund.
  • Returns: Returns of standard products may be accepted within 7 business days of delivery, provided the products are in their original condition and have not been used, modified, or damaged after delivery. Returns are subject to a restocking fee of up to 15% of the order value.
  • Custom Orders: Custom-manufactured pallets are non-returnable and non-refundable unless they fail to meet the agreed-upon specifications.
  • Return Shipping: For quality-related returns, Pallets Reuse will cover return shipping costs. For all other returns, the Customer is responsible for return shipping costs.
  • Refund Processing: Approved refunds will be processed within 10 business days of receiving and inspecting the returned products. Refunds will be issued via the original payment method or as account credit, at the Customer's preference.
  • Shortages: If an order is short (fewer pallets delivered than ordered), the Customer must report the shortage within 48 hours of delivery. We will verify the shortage and arrange delivery of the remaining products or issue a credit for the difference.

8. Warranties

Pallets Reuse provides the following warranties on our products and services:

  • Grade Guarantee: We warrant that all pallets sold will meet or exceed the specifications of their designated grade at the time of delivery. Our grading criteria are available upon request and are described on our website.
  • New Pallet Warranty: New pallets manufactured by Pallets Reuse are warranted against defects in materials and workmanship for a period of 90 days from the date of delivery, under normal use and load conditions.
  • Recycled/Refurbished Pallet Warranty: Recycled and refurbished pallets are warranted to be structurally sound and suitable for their designated load capacity at the time of delivery. Due to the nature of used materials, this warranty covers structural integrity only and does not extend to cosmetic imperfections.
  • Heat Treatment Certification: Pallets that have undergone ISPM-15 heat treatment are warranted to have been treated in compliance with ISPM-15 standards and will bear the appropriate certification stamp.
  • Exclusions: Warranties do not cover damage resulting from misuse, overloading beyond rated capacity, improper storage (exposure to excessive moisture, chemicals, or extreme temperatures), modification or alteration by the Customer, normal wear and tear, or damage occurring during the Customer's transportation or handling after delivery.
  • Warranty Claims: To make a warranty claim, contact us within the warranty period with a description of the defect and supporting photographs. We will evaluate the claim and, at our option, repair or replace the defective product or issue a credit.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, PALLETS REUSE MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE WARRANTIES PROVIDED ABOVE ARE THE CUSTOMER'S SOLE AND EXCLUSIVE REMEDIES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Pallets Reuse shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to the use of our products or services, including but not limited to lost profits, lost revenue, loss of business opportunities, loss of data, or business interruption, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for all claims arising from or related to our products or services shall not exceed the total amount paid by the Customer for the specific products or services giving rise to the claim during the twelve (12) months preceding the claim.
  • We shall not be liable for any delays, failures, or interruptions in the delivery of products or services resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, strikes, shortages of materials, transportation delays, or other force majeure events.
  • We shall not be liable for any loss or damage to goods stored on our pallets during transit, warehousing, or use.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pallets Reuse, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of our products or services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any misrepresentation made by you; or (e) any claim that your use of our products caused damage to a third party.

11. Website Use

You agree to use our website for lawful purposes only. You may not use our website in any way that could damage, disable, or impair the site or interfere with any other party's use. Specifically, you agree not to:

  • Use any automated system, including robots, spiders, or scrapers, to access the Site for any purpose without our express written permission.
  • Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems or databases.
  • Transmit any viruses, malware, or other harmful code through our Site.
  • Use the Site to collect or store personal data about other users without their consent.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content without our express written permission.
  • Use the Site to transmit any unsolicited advertising, promotional materials, or spam.

Content on this website is for informational purposes and should not be relied upon as the sole basis for making business decisions. While we strive for accuracy, we do not guarantee that all information on the Site is complete, accurate, or current.

12. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, icons, images, photographs, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of Pallets Reuse or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Pallets Reuse name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pallets Reuse or its affiliates. You may not use such marks without our prior written permission.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent, except that you may print or download one copy of a reasonable number of pages for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree to the following dispute resolution process:

13.1 Informal Resolution

The parties shall first attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to the other party. The parties shall have 30 days from the date of the notice to attempt to resolve the dispute informally.

13.2 Mediation

If the dispute cannot be resolved through informal negotiation, either party may submit the dispute to mediation administered by a mutually agreed-upon mediator in Portland, Oregon. The costs of mediation shall be shared equally by both parties. Each party shall bear its own attorney fees and costs associated with mediation.

13.3 Litigation

If mediation is unsuccessful, either party may pursue the dispute in the courts of Multnomah County, Oregon. Both parties consent to the personal jurisdiction and venue of such courts.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and the parties hereby irrevocably consent to the personal jurisdiction and venue of such courts.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond the reasonable control of that party, including but not limited to: acts of God, fire, flood, earthquake, severe weather, pandemic or epidemic, government actions or regulations, war, terrorism, civil unrest, labor disputes, shortages of materials or supplies, transportation disruptions, utility failures, or any other event that could not have been reasonably foreseen or prevented. The affected party shall promptly notify the other party of the force majeure event and its expected duration.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity, legality, or enforceability of the remaining provisions. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Pallets Reuse regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website and will be indicated by an updated "Last updated" date at the top of this page. For material changes, we may provide additional notice through email or a prominent posting on our Site. Your continued use of our services after changes constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you must discontinue use of our website and services.
